These Terms of Service ("Terms") govern your use of the website giirai.com and any services provided by Giir AI ("Giir AI", "we", "us"). By using the site or engaging our services, you agree to these Terms.

1. Services

Giir AI provides custom software design and development services, including AI systems, SaaS platforms, mobile applications, and enterprise software. Specific scope, deliverables, timeline, and price for any engagement will be set out in a separate written proposal or Statement of Work.

2. Website use

You agree not to misuse the site, attempt to gain unauthorized access, disrupt operation, scrape at abusive volumes, or use it for unlawful purposes.

3. Accounts

If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized use.

4. Fees and payment

Fees, milestones, and payment terms for services are stated in the applicable Statement of Work. Invoices are due on the terms specified there. Late payments may be subject to a service charge.

5. Intellectual property

Site content, including logos, text, graphics, and software, is owned by Giir AI or its licensors. For client engagements, ownership of deliverables transfers upon full payment as specified in the Statement of Work. We retain rights to our pre-existing tools, libraries, and know-how.

6. Confidentiality

We treat client materials shared during an engagement as confidential and use them only to deliver the services.

7. Disclaimers

The site is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee specific business outcomes from our services.

8. Limitation of liability

To the maximum extent permitted by law, Giir AI's total liability arising from or relating to these Terms or any engagement will not exceed the fees you paid us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

9. Indemnification

You agree to indemnify and hold Giir AI harmless from claims arising out of your use of the site or violation of these Terms.

10. Termination

We may suspend or terminate access for violation of these Terms. Engagement-specific termination is governed by the Statement of Work.

11. Governing law

These Terms are governed by the laws of the State of Minnesota, USA, without regard to conflict-of-laws principles. Disputes will be resolved exclusively in the state or federal courts located in Hennepin County, Minnesota.

12. Changes

We may update these Terms from time to time. Continued use of the site after changes means you accept the new Terms.
